Governance Rules

At Zomi Communications Limited (incorporating The Gravitas Programme®, Leading with Gravitas® and Antoinette Dale Henderson brands), we recognise that integrating Corporate Social Responsibility (CSR), Environmental, Social and Governance (ESG) and Sustainability principles into our business operations is essential to building a sustainable and responsible company.

Purpose

The purpose of this document is to set out the governance rules and principles that ensure transparency, accountability, and integrity in all operations of Zomi Communications Limited. These rules provide a framework for decision-making, risk management, ethical conduct, and compliance with relevant laws and regulations.

Scope

These governance rules apply to all employees, associate contractors, suppliers, and stakeholders engaged with Zomi Communications Limited and its brands.

Governance Principles & Rules

1. Leadership & Accountability

  • The Managing Director, Antoinette Dale Henderson, holds overall responsibility for governance and operational integrity.
  • All contractors and associates are required to adhere to company policies, ethical standards, and legal requirements.
  • Roles, responsibilities, and reporting lines are clearly defined and communicated to ensure accountability.

2. Ethical Conduct & Decision-Making

  • All business decisions must align with the company’s Code of Ethics & Conduct, CSR, ESG, and Human Rights commitments.
  • Conflicts of interest must be disclosed promptly and managed appropriately.

3. Transparency

  • Company policies, processes, and decision-making criteria are communicated clearly to all stakeholders.
  • Accurate records are maintained for business transactions, contracts, and financial reporting.

4. Compliance

  • All activities comply with applicable UK laws, including employment law, anti-slavery legislation, equality law, data protection, and health & safety regulations.
  • Contractors are expected to comply with all applicable legal and regulatory requirements relevant to their engagement.

5. Risk Management

  • The company identifies, evaluates, and mitigates risks in operations, supply chains, and service delivery.
  • Periodic reviews of business processes are undertaken to ensure risks are managed effectively.

6. Monitoring & Continuous Improvement

  • Governance practices and operational processes are reviewed regularly to ensure effectiveness, alignment with best practice, and responsiveness to stakeholder feedback.
  • Feedback from clients, contractors, and other stakeholders is used to enhance governance procedures.

Governance Responsibilities

  • Managing Director: Overall responsibility for governance, compliance, and ethical oversight.
  • Contractors and Associates: Expected to comply with governance rules, report ethical concerns, and act in accordance with company policies.

Review

These governance rules will be reviewed annually or sooner if required to ensure continued relevance, compliance with legal obligations, and alignment with company objectives.
